Terms of service

1.1 Acceptance
By using Leverdocs, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.

1.2 Precedence of executed agreements
Where you have executed a separate written agreement with Leverdocs (including a Pilot Agreement or a Cloud Services Agreement), that agreement governs your use of the Services and prevails over these Terms to the extent of any inconsistency. These Terms apply to (a) website visitors, and (b) any use of the Services by users not covered by such an executed agreement.

2.1 Eligibility
You must be at least 18 years old and capable of entering into binding contracts.

2.2 Licence
We grant you a limited, non-exclusive, non-transferable licence to use Leverdocs in accordance with these Terms.

2.3 Restrictions
You must not:

• Reverse-engineer, copy, or tamper with our software
• Use Leverdocs for unlawful purposes
• Share or misuse login credentials

You are responsible for:

• Maintaining the confidentiality of your account
• All activity under your account

All content and software are owned by Leverdocs or our licensors. You may not use our trademarks or proprietary materials without consent.

We aim for high availability but do not guarantee uninterrupted access. We reserve the right to modify or suspend the service.

We may suspend or terminate your access for breach of these Terms or applicable law.

To the maximum extent permitted by law, and subject to any rights you have under the Australian Consumer Law that cannot be lawfully excluded:

a. Leverdocs is not liable for any direct, indirect, special, incidental, consequential, exemplary, or punitive damages — including but not limited to loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings — arising out of or in connection with these Terms or your use of the Services, whether in contract, tort (including negligence), under statute, or on any other basis.

b.Leverdocs's total aggregate liability arising out of or in connection with these Terms or your use of the Services is limited to AUD $100.

c.Where liability cannot be excluded under the Australian Consumer Law, Leverdocs's liability for failure to comply with a consumer guarantee is limited (at our election) to the re-supply of the Services or the payment of the cost of having the Services re-supplied.

You agree to defend, indemnify, and hold harmless Leverdocs and its directors, officers, employees, agents, and contractors from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• your use or misuse of the Services;
• your breach of these Terms;
• your violation of any applicable law or regulation;
• your infringement of any third party's rights, including intellectual property and privacy rights; or
• any content, data, or materials you submit, upload, transmit, or process through the Services.

These Terms are governed by the laws of Victoria, Australia. Disputes will be resolved in Victorian courts.
